Salto Labs Inc. (“Salto”, “our”) invites you to participate in our contest (the “Giveaway”) beginning at 9:00 AM Eastern Time on September 27, 2023 and ending at 9:00 PM Eastern Time on October 27, 2023 (the “Giveaway Term”). By participating in the Giveaway, you agree to be bound following terms and conditions (the “Giveaway T&C”) which include by reference Salto’s Terms of Use (available at: https://www.salto.io/terms-of-use) and Privacy Policy (available at: https://www.salto.io/privacy-policy), and to comply with all applicable laws and regulations regarding the participation in the Giveaway. 

  1. All participants must be at least twenty-one (21) years of age and must be legally permitted to participate in the Giveaway in accordance with these Giveaway T&C  (“Participant” or “you”). Winners (as defined below) will be announced up to 7 days following the end of the contest, and notified via email (as defined below). Participants must respond to Salto’s notice of having won the Giveaway within three (3) days. 

  2. Winning Criteria: Salto will select the Participant who was named by the greatest number of new registrants to the Salto Leap website located at https://hub.salto.io/ (“Salto Leap Hub”) within the Giveaway Term, as the referring Participant (“Referrals”), to win the Prize (“Winner”). The odds of winning depend on the number of eligible entries received and the referral success rate. In case of a tie, the person who referred the greatest number of registrants who also completed a course will win.

  3. To participate in the Giveaway (“Participate Requirements”): 

  4.  Shall be registered for Salto Leap Hub before registering to participate in the Giveaway. 

  5.  Shall actively share the referral link it received for participation in the Giveaway with natural persons who are potential users of the Salto Leap Hub.

  6. Notwithstanding anything to the contrary, a Participant who does not achieve at least four (4) new Referrals, will not win the Giveaway.

  7. At the end of the Giveaway Term, the Participant with the most referrals will be determined as the Winner.

  1. Referrals Automatic Participation in a Sweepstake for One Hour of Consultation. Each Referral shall automatically be considered by Salto to be included in a sweepstake to win one hour of consultation with one of the Salto Leap experts as shall be designated by Salto at its sole discretion (the “Automatic Sweepstake”). Salto will announce on Slack, or email the names of the Referrals that won the Automatic Sweepstake (the “Winning Referral”) and notify the Winning Referrals via the Salto Leap Hub or by email. Winning Referrals must respond to Salto’s notice of having won the Automatic Sweepstake within three (3) days of Salto’s notification of winning in order to be eligible to receive their prize. 

  1. Within three (3) business days of receiving the prize notification, the potential Winner or Winning Referral may be required to sign and return a Declaration of Eligibility, Liability and (where permitted by law) Publicity Release (“Win Claim Package”) sent via email in order to receive the relevant prize. A potential winner who is not the age of majority in the jurisdiction in which s/he resides may be required to have his or her parent or legal guardian complete and sign the Win Claim Package.  If the potential Winner or Winning Referral does not respond to the message within three (3) business days of when the initial notification message was sent, or refuses to confirm the requested information, then the potential Winner or Winning Referral will be disqualified and forfeit his/her right to the relevant Prize (as defined below).  If a potential Winner or Winning Referral is found to be ineligible, fails to respond or refuses to confirm the requested information, or does not comply with these Giveaway T&C, the Prize may be forfeited at the sole discretion of Salto and an alternate winner may be selected from among all remaining eligible participants. A potential winner who is disqualified for any reason will not be entitled to any form of compensation. 

  1. Winners shall be responsible for all federal, state and local taxes associated with acceptance and use of the Prize as well as any other costs and expenses associated with receiving the Prize. The potential winner may also be required for tax purposes to sign an affidavit and release and submit a W-9 tax form.

  1. This Giveaway is not open to employees of Salto and/or its affiliates, agents or anyone connected with execution or administration of the Giveaway. Salto shall determine if and which Participant or Referral is chosen to be a Winners or Winning Referral (respectively). 

    Winner of the Giveaway shall receive a Sony noise cancelling headphones WH-1000XM5 (the “Prize”) or a gift card of an equivalent value to make the purchase.

    Winning Referral shall receive one hour of digital consultation via Zoom with one of the Salto Leap experts as shall be designated by Salto at its sole discretion, valid through 30 days following the winners' announcement.  

  1. The Prize is non-transferrable to another individual or business and may not be redeemed in any other manner. 

  1. To receive the winners list, you may email Salto at [email protected]. The winner list will include the winners’ first name and last name, which shall be available after all winner confirmations are complete. 

  1. Salto reserves the right to alter, amend, suspend, or cancel this Giveaway and Automatic Sweepstake, in whole or in part, at any time without notice. Salto’s decisions in respect of all aspects of the Giveaway and Automatic Sweepstake will be final and binding.

  1. By participating, you release and hold harmless Salto and its subsidiaries, affiliates, partners, employees, directors, agents, advertising agencies, and all others associated with the development and execution of the Giveaway and Automatic Sweepstake from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Giveaway or Automatic Sweepstake and/or the acceptance, awarding, receipt, use and/or misuse of the Prize, and you agree that these entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the promotion and/or the awarding of any prize except as expressly provided in these Giveaway T&C.  

  2. Further, by participating, you agree that: (a) any and all disputes, claims, and causes of action arising out of or in connection with the Giveaway and Automatic Sweepstake, or any Prizes awarded, shall be resolved individually without resort to any form of class action; (b) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Giveaway and Automatic Sweepstake, but in no event attorney’s fees; (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise. 

  1. The failure of Salto to comply with any provision of these Giveaway T&C due to an act of God, hurricane, war, fire, riot, earthquake, pandemic, terrorism, act of public enemies, actions of governmental authorities outside of its control or other force majeure event will not be considered a breach of these Giveaway T&C.

  1. The Giveaway is subject to all applicable federal, state and local laws, and is void in Rhode Island and where prohibited or restricted by law. By participating in the Giveaway on the Automatic Sweepstake, the participant agrees: (a) to abide by and be bound by these Giveaway T&C and decisions of Salto which shall be final in all respects relating to the Giveaway, including without limitation the interpretation of these Giveaway T&C; (b) to abide by and be bound by any terms of use, privacy policies, or other policies of any social media platforms; (c) the laws of the United States and the State of Delaware apply to and govern the Giveaway and Automatic Sweepstake and any claims must be raised and resolved in the federal or state courts located in Delaware; (d) if, for any reason whatsoever, the Giveaway or the Automatic Sweepstake, in Salto’s sole opinion, is not capable of running as planned, including, but not limited to, to comply with legal requirements or by reason of infection by computer virus, tampering, fraud, technical failures, or any other cause which, in Salto’s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Giveaway or Automatic Sweepstake, Salto reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway or Automatic Sweepstake and limit entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Salto in its sole discretion; and (e) Salto reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Giveaway or the Automatic Sweepstake, or to be acting in violation of the terms of this or any other promotion.

  1. Any personal data you provide in connection with the Giveaway or Automatic Sweepstake to Salto will be treated in accordance with Salto’s Privacy Policy. 

  1. This Giveaway is in no way sponsored, endorsed, or administered by, or associated with, Sony or any consultant providing the consolation Prize. By entering into the Giveaway or Automatic Sweepstake, you confirm the release of Sony and the relevant consultant (as applicable) of responsibility to any damages or claims related to the Giveaway or Automatic Sweepstake.
